Overview: LHH is seeking an experienced Corporate Paralegal to support a busy Corporate Law Practice Group. In this role, you???ll support attorneys through all phases of entity formation, qualifications, closings, and post???closing work, with an emphasis on accuracy, client service, and moving deals forward. If you enjoy owning your workstream, juggling multiple matters, and being the steady hand at closing time, this is a great fit.
Key Responsibilities:
- Draft and file incorporation and formation documents
- Prepare written board and stockholder consents for organizational and transactional matters
- Draft resolutions for board and stockholder meetings
- Prepare organizational documents, stock certificates, and stock ledgers
- Obtain EINs by completing and filing Forms SS???4
- Maintain corporate minute books and stock ledgers
- Conduct jurisdictional research for foreign qualifications
- Prepare and file qualification and withdrawal applications
- Order lien, bankruptcy, and litigation searches and summarize results
- Prepare and file statutory Secretary of State filings, including amendments, conversions, mergers, and dissolutions
- Identify and resolve good???standing and other entity???related issues
- Coordinate with corporate service providers regarding registered agent matters
- Draft secretary and officer certificates
- Assemble closing files and manage signature page distribution
- Order certified charter documents and good???standing certificates
- Prepare and file UCC financing statements, amendments, and terminations
- Support closing processes by filling dates, tracking final agreements, and gathering signatures
- Prepare closing indexes, assemble closing binders, and assist with distribution
- Provide general transactional support and perform additional duties as assigned
Qualifications:
- Bachelor???s degree and/or a paralegal certificate from an accredited institution.
- 5+ years of experience as a corporate paralegal, with a proven track record of handling closings.
- Strong understanding of corporate law and legal terminology.
- Excellent organizational and time-management skills, with the ability to manage multiple tasks effectively.
- Proficiency in Microsoft Office Suite and legal research tools.
- Ideal candidate will have experience in a large firm and seek a change of pace in a growing, dynamic environment.
- Strong written and verbal communication skills, with a focus on collaboration.
Details:
- Employment Type: Direct Hire
- Compensation: up to $110,000 annually
- Schedule: Hybrid (4 days on-site, 1 day remote)
- Benefits provided by company include medical, dental, and vision insurance, 401K, and generous PTO.
Pay Details: $65,000.00 to $110,000.00 per year
