About the Role

A growing organization is seeking a Senior Corporate Paralegal to support a dynamic legal team across corporate governance, compliance, and transactional matters. This role offers high visibility and the opportunity to take ownership of key legal processes in a collaborative environment.


Responsibilities

  • Manage corporate governance and entity maintenance, including formations, dissolutions, annual filings, and minute books

  • Maintain and organize corporate records and compliance documentation

  • Support M&A and transactional work, including due diligence, closings, and document tracking

  • Draft and review corporate documents (resolutions, agreements, certificates)

  • Coordinate with internal teams, outside counsel, and regulatory agencies

  • Monitor deadlines and ensure timely filings and compliance

  • Assist with process improvement and mentor junior team members


Qualifications

  • 5+ years of experience as a corporate or transactional paralegal

  • Strong experience with corporate governance and entity management

  • Exposure to M&A, finance, or real estate transactions preferred

  • Bachelor’s degree and/or Paralegal Certificate preferred

  • Highly organized with strong attention to detail

  • Ability to manage multiple priorities in a fast-paced environment


Compensation

  • Base Salary: $105,000 – $135,000

  • Bonus eligible
