About the Firm

A Chicago boutique law firm is seeking a Senior Corporate Paralegal to join its corporate practice. This is a highly collaborative role supporting a senior partner on a range of sophisticated corporate and transactional matters.

The firm is known for its close-knit culture, long-tenured team, and commitment to delivering thoughtful, high-quality work to its clients.


The Opportunity

This position is ideal for a seasoned paralegal who enjoys working closely with partners and taking ownership of corporate matters from start to finish. You’ll play a key role in keeping transactions moving, maintaining corporate records, and supporting clients with practical, detail-driven guidance.


Key Responsibilities

  • Provide direct support to a senior partner across corporate and transactional matters

  • Manage corporate governance and entity maintenance, including formations, dissolutions, annual filings, and minute books

  • Prepare and maintain corporate records, resolutions, and organizational documents

  • Assist with M&A, financing, and other transactions, including due diligence and closing coordination

  • Draft and organize corporate and transactional documents

  • Oversee document execution and prepare closing binders

  • Serve as a point of contact with clients, regulatory agencies, and third parties

  • Track deadlines and ensure filings and deliverables are completed efficiently


Billable Expectation

  • 1,400 billable hours annually


What We’re Looking For

  • 7+ years of corporate or transactional paralegal experience within a law firm setting

  • Strong background in corporate governance and entity management

  • Experience supporting M&A or transactional work preferred

  • Bachelor’s degree and/or Paralegal Certificate preferred

  • Highly organized with strong attention to detail

  • Comfortable working closely with senior attorneys and managing competing priorities


Compensation

  • Base Salary: $105,000 – $125,000

  • Bonus eligible
