Temporary Senior Corporate Paralegal

LHH Recruitment Solutions is seeking a senior corporate paralegal with a minimum of eight (8) years of paralegal experience to offer contract support to an independent refiner based in Houston, TX. This is a great contract role with the potential for growth with a recognized leader in the refining industry.

Responsibilities:

  • Work closely with business department and senior management on complex legal projects
  • Provide advanced corporate transactional, financial, real estate, and general commercial paralegal support
  • Manage commercial financial transactions
  • Create and manage data rooms
  • Review, collect, and handle of data room documents
  • Manage collaboration with business units, counterparts to agreements, and external counsel
  • Support and coordinate various phases of due diligence processes preceding launch of transaction
  • Provide company-wide support, including but not limited to, creating quarterly earnings reports, setting up investor calls, and related administrative governance activities
  • Organize conferences and execute sessions and other meetings involving management and internal stakeholders
  • Engage local real estate counsel and provide various real estate related support including but not limited to, reviewing and updating closing checklists, preparing pre-closing and closing documents for execution, engaging in closing and post-closing processes
  • Facilitate review, revision, and execution of commercial contracts
  • File UCC-1 Financing Statements and UCC-3 Amendments
  • Assist with customer requests, conflict checks, engagement of law firms, and internal company communications
  • Qualifications:

  • Bachelor’s degree or required certificate of completion of a paralegal program approved by the American Bar Association (ABA)
  • Minimum of eight (8) years of paralegal experience
  • Project management experience required
  • Experience with contracts and corporate governance
  • Proficiency with Microsoft Office Suite
  • Proficiency with virtual meeting software and legal research databases
  • Excellent verbal and written communication skills
  • Excellent organizational skills
  • Solid organizational and multi-tasking skills with high attention to detail
  • Willingness to learn new systems
  • Ability to manage time wisely and work with minimal supervision
  • Professionalism at all times with clients and team members
