Corporate Legal Assistant/Paralegal:

New York - $75k-$90k – Minimum 3 years experience in Corporate Law department at a billing level

  • Revising/drafting documents/correspondence (frequently utilizing automatic numbering and advanced page numbering skills)
  • Redlining/comparing documents
  • Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing and private equity
  • Preparing documents for filing with Departments of State and other jurisdictions; working with outside agents for filing out-of-state documentation; following up on filings
  • Handles all corporate formations, general corporate matters, board minutes, stock transfers, etc.
  • Review corporate public records and draft analyses
  • Maintain corporate minute books
  • Handles all calendaring and scheduling for meetings and calls
  • Copying/Scanning/Filing
  • Drafting engagement letters
  • Preparing new file openings
  • Preparing and revising organizational charts
  • Assist with completing expense reports
  • Record attorney billable hours and costs
