Practice Assistant/Legal Assistant

A large and prominent law firm is seeking an eager, tech savvy, driven Practice Assistant/Legal Assistant in Downtown Portland, Oregon. This position is a full-time permanent position. The candidate must travel on-site until the 6 months of training has been completed, at which point the position becomes hybrid. Responsibilities:

  • Preparing and filling legal documents pertaining to transactions involving incorporation/formation of corporations, partnerships and companies, mergers, and acquisitions
  • Preparing and filing federal and state forms
  • Assisting with governance matters
  • Maintaining records and serving as stock transfer agent
  • Performing legal searches and summarizing findings for attorneys
  • Administering liquidations, dissolutions, and withdrawals
  • Qualifications:

  • Minimum of 3 years of corporate paralegal experience working in a corporate legal department or law firm
  • Must either possess a Paralegal Certificate approved by the ABA, or a degree from a postsecondary institution pursuant to State law accreditation with a minimum of 24 law-related course units
  • Strong understanding of corporations/business law
  • Skills:

  • Strong working knowledge of Microsoft Office, Visio, eShares, IManage or similar, HotDocs, Corporate Focus/Athennian (with experience maintaining cap tables), and DocuSign
  • Strong attention to detail and organizational skills
  • Self-starter that can work with minimal guidance
  • Excellent communication skills with client and advisors
  • Adaptive and resourceful team-player
  • Experience with emerging growth companies and venture backed capital deals is a plus
  • Work Hours:

  • 8:30 AM – 5PM, with some flexibility
  • Monday – Friday
  • Ability to work overtime
