LHH is actively recruiting for experienced Corporate Securities Paralegal positions that we anticipate our law firm and in house corporate clients will be reaching out to us for in the near future. If you are interested in learning more and have the necessary experience and credentials outlined below we want to hear from you.

If you have experience performing the following tasks:

  1. File and prepare Section 16 filings (Forms 3,4 & 5) SEC filings and related powers of attorney.

  2. Help with legal department support of other SEC filings.

  3. Help with compliance with NYSE listing requirements, including annual and interim attestations.

  4. Manage corporate calendar of filing dates and supporting actions.

  5. Help with and manage documentation of corporate policies required by the SEC or NYSE, including maintaining Insider Trading Policy pre-clearance and restrictive period participant lists, and the process of ensuring that such polices are communicated and participant lists are updated.

  6. Manage proxy statement related administration matters, including collection of data, preparation of meeting materials, preparation, dissemination, and review of annual D&O Questionnaires, maintaining biographies and other information.

  7. Manage the preparation and assist with the conduct of annual stockholders meetings.

  8. Help with legal operations matters including support for and reporting from Thompson Reuters Legal Tracker matter management system.

  9. Help with both routine subsidiary matters such as d/b/a filings and KYC requests and work collaboratively on projects with teams including Finance, Treasury and Tax.

  10. Work on other special projects with an emphasis on improving collaboration, process automation, and optimizing legal operations.

  11. Identify areas for process creation/improvement including developing templates and implementing internal automation tools to increase efficiency and consistency.

Experience and Credentials

  1. 3+ years of relevant experience, either in a law firm or in-house

  2. Experience communicating and building relationships with internal constituents from employees to board members, and external organizations including outside counsel

  3. High level of accuracy, strong attention to detail and excellent proofreading skills

  4. Excellent organization skills coupled with the ability to compile information from multiple sources

  5. Proficiency in the following applications: Microsoft Forms, Power Automate, Word, PowerPoint, Excel (can maintain complex spreadsheets), Teams, Outlook, and Thompson Reuters Legal Tracker

  6. Working knowledge of, or interest in learning, SEC filing software and HCue or similar corporate records app
