LHH is looking for a hybrid Corporate Governance Paralegal in Chicago.
Summary: The ideal candidate has over 2 years of experience, preferably in a law firm, and must be willing to learn the firm’s corporate database program to update client records and assist with annual corporate maintenance filings.
Duties and Responsibilities:
Maintain entity management database and docket system, including uploading documents, docketing filing due dates, and maintaining minute books.
Prepare annual reports and consents; transmit to clients.
Prepare and coordinate filing of documents and forms for entity formation and ongoing corporate operations.
Prepare stock certificates; maintain stock ledgers and capitalization tables.
Prepare applications for federal employer identification numbers and process with the IRS.
Assist with preparation and filing of UCC filings.
Review and analyze UCC search results.
Prepare and assemble closing books.
Interface with corporate service providers for statutory registered agent services.
Obtain and process invoices related to corporate filings.
Perform other job-related duties as assigned.
Knowledge, Skills, and Abilities Required:
College degree and paralegal certificate required.
2-4 years of experience as a Corporate Paralegal, preferably in a law firm.
Ability to act independently and make routine decisions within the scope of the position.
Proactive with excellent troubleshooting, problem resolution, and follow-through skills.
Excellent organizational skills including recordkeeping, data collection, and system information management.
Ability to proofread for grammatical, typographical, or spelling errors.
Dependable team player who works collaboratively in a team-oriented environment.
Computer literate with proficiency in internet searching, Outlook, Word, Excel, and PowerPoint.

Salary $60,000 - $85,000 and benefits
Pay Details: $60,000.00 to $85,000.00 per year
