In-House Paralegal – Corporate Governance

Full-Time | Schaumburg, IL | Salary: $60,000 – $90,000 (Based on Experience)

A well-established company in Schaumburg, Illinois is seeking an experienced In-House Paralegal to support corporate governance and compliance functions. This is an excellent opportunity for a detail-oriented paralegal who is looking to grow their career within a corporate legal department.

Position Overview:

The In-House Paralegal will play a key role in supporting the company’s legal and compliance teams, particularly in the areas of corporate governance, board management, and regulatory filings. This position requires a proactive, highly organized professional with excellent communication skills and a solid understanding of corporate structures and legal processes.


Key Responsibilities:

  • Assist with corporate governance, including preparation of board materials, resolutions, and meeting minutes.

  • Maintain and update corporate records, including subsidiary management and entity documentation.

  • Support regulatory and compliance reporting requirements.

  • Collaborate with internal departments and outside counsel on legal matters and corporate initiatives.

  • Conduct research on corporate policies, legal issues, and regulatory requirements.

  • Manage deadlines, filings, and documentation to ensure timely compliance with applicable laws.

  • Provide day-to-day legal support for the corporate legal team and other business units as needed.

  • Assist with special projects and legal operations initiatives as assigned.


Qualifications:

  • Minimum 5 years of paralegal experience, preferably in corporate governance, corporate law, or in-house legal departments.

  • Strong working knowledge of corporate records management and regulatory processes.

  • Excellent organizational skills and the ability to manage multiple projects simultaneously.

  • Strong written and verbal communication abilities.

  • Proficient in Microsoft Office Suite; experience with legal document management systems is a plus.

  • Self-motivated with a high level of accuracy and attention to detail.

  • Bachelor's degree and/or Paralegal Certificate preferred.


Compensation & Benefits:

  • Salary Range: $60,000 – $90,000, based on qualifications and experience.
