Job Title: Corporate Paralegal
Location: Denver, Colorado
Salary: $70,000-$90,000 DOE
Employment Type: Direct Hire

Job Description:
LHH Recruitment Solutions is partnering with a Denver law firm to find a Corporate Paralegal with at least three years of relevant experience to join their team. In this role, the Corporate Paralegal will support attorneys across a broad range of transactional and compliance matters, including entity formation, corporate governance, M&A transactions, and regulatory filings. The ideal candidate will have strong organizational skills, excellent attention to detail, and a solid understanding of corporate legal procedures and documentation.

Responsibilities:
  • Form and maintain legal entities in Colorado and other jurisdictions (LLCs, corporations, partnerships)
  • Draft and maintain corporate governance documents, including bylaws, operating agreements, resolutions, and meeting minutes
  • Support attorneys with M&A and financing transactions by preparing signature packets, organizing due diligence materials, and managing closing checklists
  • Maintain and update corporate records and entity management databases
  • File annual reports and corporate documents with the Colorado Secretary of State and other applicable agencies
  • Conduct research on corporate and securities regulations as needed
  • Assist with regulatory filings and compliance tracking for clients
  • Collaborate with attorneys and clients to collect information and manage project timelines

Qualifications:
  • Minimum of 3 years of corporate paralegal experience in a law firm or in-house legal department
  • Paralegal certificate strongly preferred
  • Proficiency with Microsoft Office Suite; experience with entity management platforms (e.g., Athennian, GEMS, CSC) a plus
  • Familiarity with SEC and Blue Sky filings is a plus but not required
  • Highly organized with strong attention to detail and ability to meet deadlines
  • Excellent written and verbal communication skills
  • Professional, client-focused demeanor and ability to work well under pressure
