LHH has partnered with a great firm who is seeking a Corporate Paralegal to join their legal team in Denver, CO.

Key Responsibilities

Entity Formation & Compliance

  • Form corporations and LLCs, including name checks and reservations.

  • Draft and file formation documents (e.g., certificates of incorporation, bylaws, stock issuances, PIIAs, tech assignments).

  • File with Secretaries of State and obtain EINs from the IRS.

  • Prepare FinCEN BOI reports and maintain corporate records.

Governance & Recordkeeping

  • Draft and maintain shareholder, director, manager, and member actions and meeting minutes.

  • Manage minute books and stock records, including employee stock option plans.

  • Maintain cap tables and ledgers using platforms like Carta.

Regulatory Filings

  • Prepare and file foreign qualifications and annual reports.

  • Research Blue Sky laws, draft memoranda, and complete federal/state filings.

  • Draft dissolution documents and manage shareholder communications.

Transactional Support

  • Support M&A and financing transactions: manage data rooms, disclosure schedules, and closing documentation.

  • Draft closing checklists, certificates, and memoranda.

  • Prepare UCC filings, Form ID and Form D filings, and assist with EDGAR submissions.

  • Coordinate board/shareholder materials and regulatory filings.

Administrative & Team Support

  • Maintain form files and legal reference materials.

  • Provide backup support for reception and administrative tasks.

  • Mentor junior legal staff, including paralegals and clerks.

Qualifications

  • Minimum 3 years of corporate paralegal experience in a law firm (nationally recognized firm preferred).

  • Proficient in Microsoft Office Suite; experience with Carta is a plus.

  • Professional demeanor and ability to interact with attorneys, staff, and clients.
