Corporate and Securities Paralegal – Onsite, NYC

LHH Recruitment Solutions is seeking an experienced Corporate and Securities Paralegal with at least 3 years of experience supporting attorneys in Corporate Securities law to work on a full-time basis in NYC. The ideal candidate will have a solid background in corporate securities work, and a demonstrated ability to support a high-volume practice with professionalism, initiative, and discretion. This full-time position is well-suited for a detail-oriented, organized professional who thrives in a fast-paced, collaborative environment and embraces evolving technology and legal processes.
Responsibilities:
You’ll assist attorneys in all stages of corporate and securities-related work, including:
  • Draft and file corporate formation documents (e.g., EINs, resolutions, stock certificates)
  • Support ongoing entity management, including state filings and UCC filings
  • Organize and maintain legal libraries and entity data repositories
  • Manage due diligence workflows and materials
  • Prepare board/committee materials and maintain meeting minutes
  • Support transactional closings—stock purchases, asset acquisitions, mergers, financings
  • Coordinate document execution, edgarization, and SEC submissions
  • File Form D and blue sky filings
  • Conduct legal research and contribute to special projects

Qualifications:
  • Bachelor’s degree in Legal Studies or Paralegal Certification
  • Minimum 3 years’ experience in a corporate/securities legal setting
  • Strong working knowledge of U.S. regulatory filings, including SEC compliance
  • Proficient in Microsoft Office and legal research platforms like Westlaw or LexisNexis
  • Experience managing virtual data rooms
  • Timekeeping and billing familiarity
  • Ability to communicate clearly, multitask under pressure, and handle confidential data
Benefits

Depending on the specific client, location, and role, the salary range is estimated to be $85,000.00 to $105,000.00 and benefits may include medical, dental, vision, life insurance, short-term disability, additional voluntary benefits, EAP program, commuter benefits and 401K plan.
