LHH has an immediate opening with one of their cleints for an experienced Corporate Paralegal in downtown Orlando office. This full-time role supports a team of attorneys handling a wide range of corporate matters across multiple industries, including real estate, banking, manufacturing, technology, retail, tourism, healthcare, and others. The ideal candidate will have at least five (5) years of recent experience in a law firm or corporate legal department and a demonstrated ability to handle complex corporate transactions with minimal supervision. This position offers a competitive salary and excellent benefits, with hybrid work flexibility after a successful onboarding period.
Responsibilities:
Assist with entity formations and maintenance (both business and not-for-profit corporations) across multiple states
Prepare and file corporate formation documents, including partnership agreements, operating agreements, annual reports, and corporate bylaws
Manage corporate record keeping and governance documents
Transaction Support
Assist with business sales, mergers and acquisitions, and reorganizations, including preparation of closing binders and signature packets.
Draft documentation for amendments, withdrawals, mergers and dissolutions.
Conduct UCC ad lien/judgment searches and filings.
Coordinate closing checklists and transaction timelines.
Compliance and Intellectual Property
Prepare and file annual Form Ds and BlueSky filings
Manage trademark and copyrights
Liaise with state and federal agencies regarding corporate filings and compliance
Research and Administrative
Perform legal research and prepare summaries, as needed
Maintain client files and assist attorneys with project tracking and deadline management
Skills:
Strong knowledge of corporate governance, M&A, and securities compliance
Proficiency in preparing and filing corporate documents, UCC filings and managing transactional closings
Proficient in legal research using Lexis Nexis; experience with iManage, Aderant Total Office (ATO), and Microsoft Office Suite
Strong organizational skills, attention to detail, and ability to manage multiple deadlines
Drafting experience
Strong and thorough verbal and written communication skills
Able to prioritize multiple tasks under tight deadlines with minimal supervision
Requirements:
A minimum of five (5) years of applicable industry experience (Required
Florida Notary or willingness to obtain one
Bachelor’s degree or a paralegal certificate or equivalent
Familiarity with Florida Department of State’s Sunbiz Portal and relevant corporate procedures
Pay Details: $70,000.00 to $80,000.00 per year
