Are you an experienced Corporate Paralegal looking to play a key role in complex mergers and acquisitions and private business transactions? We’re recruiting on behalf of a highly regarded law firm in Pittsburgh, seeking a full-time, onsite paralegal to join its dynamic and growing corporate group.
📍 Location: Pittsburgh, PA
📄 Type: Direct Hire (Law Firm)
🕘 Schedule: Monday through Friday, fully onsite
About the Role:
This position supports a high-performing corporate practice that advises middle-market clients on a broad range of transactions—particularly private M&A deals, business structuring, and financing transactions. The team you’ll join works closely with clients that range from family-owned companies to globally active private equity firms.
You’ll assist attorneys throughout the deal lifecycle: from structuring and document preparation through due diligence, negotiation, closing, and post-closing follow-up. The group values collaboration and strategic thinking, offering the chance to work on transformative transactions that impact client growth and success.
Key Responsibilities:
Draft, review, and organize closing documents and corporate records
Prepare and maintain entity formation, governance, and compliance materials
Coordinate due diligence efforts, signature packets, and closing checklists
Handle transactional filings with federal and state agencies
Support attorneys with business planning, structuring, and strategic documentation
Maintain databases and corporate records across various industries
Qualifications:
Minimum of 3 years' experience as a corporate or M&A paralegal in a law firm or in-house legal department
Strong knowledge of mergers & acquisitions, private equity, and corporate governance
Excellent attention to detail, time management, and communication skills
Ability to manage multiple projects in a deadline-driven environment
Comfortable working onsite full-time in a professional office setting
