Job: Corporate Paralegal

Location: Portland, Oregon -hybrid


Employment Type: Full-time
Salary range: $80,000 - $100,000, commensurate with experience.

LHH is seeking a highly skilled and experienced Corporate Paralegal to join our client's team.

The Corporate Paralegal will be responsible for a variety of tasks, including forming, dissolving, and merging entities; maintaining corporate records; preparing IRS forms and governmental reports; drafting corporate resolutions and partnership actions; and performing due diligence. The ideal candidate will have at least four years of relevant experience and strong computer, written, and verbal communication skills.

Key Responsibilities:

  • Form, dissolve, and merge corporations, partnerships, and limited liability companies.

  • Maintain corporate records and prepare and file IRS forms for new entities.

  • Prepare and file reports with governmental agencies.

  • Draft audit letter requests, corporate resolutions, and partnership actions.

  • Review purchase and sale agreements, draft closing lists, and organize closing documents.

  • Research state corporate statutes and securities laws.

  • Perform due diligence activities for corporate transactions.

Qualifications:

  • Minimum of four years of experience in a corporate paralegal role.

  • Strong proficiency with computer software and legal databases.

  • Excellent written and verbal communication skills.
