Job: Corporate Paralegal Location:
Employment Type: Full-time
Salary range: $80,000 - $100,000, commensurate with experience.
LHH is seeking a highly skilled and experienced Corporate Paralegal to join our client's team.
The Corporate Paralegal will be responsible for a variety of tasks, including forming, dissolving, and merging entities; maintaining corporate records; preparing IRS forms and governmental reports; drafting corporate resolutions and partnership actions; and performing due diligence. The ideal candidate will have at least four years of relevant experience and strong computer, written, and verbal communication skills.
Key Responsibilities:
Form, dissolve, and merge corporations, partnerships, and limited liability companies.
Maintain corporate records and prepare and file IRS forms for new entities.
Prepare and file reports with governmental agencies.
Draft audit letter requests, corporate resolutions, and partnership actions.
Review purchase and sale agreements, draft closing lists, and organize closing documents.
Research state corporate statutes and securities laws.
Perform due diligence activities for corporate transactions.
Qualifications:
Minimum of four years of experience in a corporate paralegal role.
Strong proficiency with computer software and legal databases.
Excellent written and verbal communication skills.
