LHH is seeking a highly organized and proactive Corporate Legal Assistant to join our client’s team in Raleigh, NC. This hybrid position blends Legal Assistant and Paralegal responsibilities and offers essential support to attorneys across a variety of corporate transactions. These include mergers and acquisitions, FDA and healthcare regulations, intellectual property, venture capital, startups, securities, and general corporate matters.
Key Responsibilities:
Draft, edit, and format a wide range of legal documents, such as correspondence, memoranda, and reports, ensuring timely completion.
Conduct research on state-specific business licensing requirements for AEC entities.
Prepare and submit licensing applications along with supporting documentation for AEC entities and other regulated sectors.
Handle business entity formations, qualifications, dissolutions, and withdrawals, ensuring proper filing.
Coordinate with vendors to perform UCC and Federal tax lien searches.
Assist with document preparation, due diligence, and closings for M&A transactions.
Assemble closing document binders for client transactions.
Provide occasional assistance to commercial real estate attorneys with document preparation and filing with the Secretary of State.
Maintain well-organized electronic and physical files, ensuring accurate record-keeping.
Qualifications:
Bachelor's degree with at least five years of relevant experience in a corporate or legal setting.
Strong research abilities, including the capacity to interpret and analyze corporate regulations, licensing requirements, and transactional documents.
In-depth knowledge of corporate entity structures, business filings, and regulatory compliance.
Proven experience preparing and reviewing legal documents such as formation papers, licensing applications, and due diligence materials.
Ability to manage multiple priorities, meet strict deadlines, and stay organized.
Exceptional organizational skills, including attention to detail in record-keeping and data management.
Capable of taking initiative and managing projects independently from start to finish.
Proficiency in Office 365 applications, including Outlook, Word, Excel, and PowerPoint.
Skilled in using NetDocuments, Adobe, DocuSign, and other document management/collaborative tools.
Strong verbal, written, and interpersonal communication skills, with the ability to work collaboratively in a team environment.
