Job Title: Senior Corporate Paralegal
Location: Seattle, Washington
Schedule: Hybrid
Salary: $120,000-$180,000 DOE
Employment Type: Direct Hire

Job Description:
LHH Recruitment Solutions is partnering with a well-established law firm to find a Senior Corporate Paralegal for their Seattle, Washington office. This hybrid role is ideal for a seasoned professional with strong experience supporting emerging companies, venture financings, and complex corporate transactions.

Responsibilities:
  • Support corporate formation and governance for emerging companies, including maintaining records and administering equity incentive plans
  • Assist with venture capital financings and private investments, leveraging platforms like Carta and Shareworks
  • Manage due diligence, data rooms, and capitalization tables for mergers, acquisitions, and other corporate transactions
  • Draft and coordinate transaction documents, signature packets, regulatory filings, and shareholder communications
  • Contribute to public company work, including IPO support, ownership tracking, compliance filings, and liaison with transfer agents and stock exchanges
  • Prepare board resolutions, meeting minutes, and related governance materials

Qualifications:
  • At least 5 years of experience in corporate, M&A, and/or securities-related paralegal work
  • Bachelor’s degree and/or ABA-approved paralegal certificate required
  • Proficiency with Excel and legal technology platforms
  • Strong familiarity with equity management systems such as Carta or Shareworks
  • Excellent attention to detail and organizational skills
  • Ability to manage multiple projects and meet tight deadlines
  • Prior experience in a law firm or in-house legal department strongly preferred
