Senior Corporate Paralegal
Location: Seattle, WA (Hybrid Schedule)
Schedule: Monday–Friday, 9:00 AM – 5:30 PM (37.5 hours/week)
Salary Range: $120,000 – $180,000
LHH is seeking a Senior Corporate Paralegal with specialized experience in Startups, Mergers & Acquisitions (M&A), and Capital Markets. This role will play a key part in managing corporate records, supporting transactional activities, and assisting with venture capital financings and public company matters.
Key Responsibilities
Startups (Required):
Hands-on experience incorporating technology and life sciences companies, maintaining corporate records, and administering stock option plans. Must be proficient in supporting venture capital transactions, conducting blue sky law research, and managing equity through platforms such as Carta and Shareworks.
Mergers & Acquisitions (Required):
Skilled in managing all phases of M&A transactions, including gathering due diligence materials, organizing virtual data rooms, conducting capitalization and background research, and coordinating shareholder communications and regulatory filings. Must be capable of drafting and managing signing and closing documentation, as well as compiling post-closing binders.
Capital Markets & Public Companies (Preferred):
Familiarity with IPO processes and public company compliance, including preparation of numerical backup for registration statements, beneficial ownership charts, and filings under the Securities Exchange Act of 1934. Experience with Section 16 filings, Rule 144 compliance, legend removal requests, and coordination with transfer agents. Additional exposure to stock exchange listings, FINRA filings, selling stockholder issues, and the preparation of closing sets, board resolutions, and meeting minutes is a plus.
Required Qualifications
- 5+ years of corporate and transactional paralegal experience
- Strong organizational, communication, and multitasking skills
- Proficiency with Excel, Carta, and Shareworks
- Bachelor's degree and/or ABA-approved paralegal certificate
- Experience in a large law firm or corporate legal department preferred
