Senior Corporate Paralegal
Location: CA- San Francisco, Santa Monica, Silicon Valley (Hybrid), New York, NY, or Seattle, WA
Schedule: Monday–Friday, 9:00 AM – 5:30 PM (37.5 hours/week)
Salary Range: $120,000 – $180,000
LHH is seeking a Senior Corporate Paralegal with specialized experience in Startups, Mergers & Acquisitions (M&A), and Capital Markets. This role will play a key part in managing corporate records, supporting transactional activities, and assisting with venture capital financings and public company matters.
Capital Markets & Public Company Transactions (Required):
Experience supporting initial public offerings and matters related to publicly traded companies.
Responsibilities include preparing numerical backup for registration statements, drafting beneficial ownership tables, assisting with SEC filings under the '34 Act and Section 16, preparing Rule 144 and legend removal letters, onboarding transfer agents, coordinating with stock exchanges, handling FINRA submissions, managing selling stockholder documentation, assembling closing binders, and drafting board resolutions and meeting minutes.
Mergers & Acquisitions (Required):
Collecting and organizing due diligence materials, managing virtual data rooms, conducting research related to corporate capitalization, coordinating shareholder communications and regulatory filings, assisting with the preparation and execution of signing and closing documents, and compiling closing sets.
Startup and Emerging Growth Company Support (HIGHLY Preferred):
Experience with incorporating early-stage companies, maintaining corporate records, implementing and administering equity incentive plans, supporting venture financings, conducting blue sky compliance research, and managing cap tables via platforms such as Carta or Shareworks is desirable.
Required Skills & Qualifications:
Proficiency with equity management platforms like Carta and Shareworks
Recent experience in a high-volume law firm
Advanced Excel skills
Bachelor’s degree and/or ABA-approved paralegal certification
Minimum of 5 years of experience in Capital markets (specifically with Section 16)
