LHH has partnered with a great firm in Seattle, WA who is looking for their next Senior Corporate Paralegal!

Key Responsibilities

Startup Support (Required)

• Incorporate technology and life sciences companies

• Manage corporate records and stock option plans

• Administer equity platforms such as Carta and Shareworks

• Support venture capital financings and blue sky research

Mergers & Acquisitions (Required)

• Collect and organize due diligence materials

• Conduct diligence and capitalization research

• Coordinate shareholder communications and regulatory filings

• Draft and manage signing/closing documents and prepare closing volumes

Capital Markets & Public Companies (Preferred)

• Assist with IPOs and public company compliance

• Prepare registration statement backups and ownership tables

• Support Section 16 reporting, Rule 144 letters, and legend removals

• Coordinate with transfer agents, stock exchanges, and FINRA

• Draft board resolutions, closing documents, and maintain records

Qualifications

• Minimum 5 years of corporate and transactional paralegal experience

• Proficiency with Carta, Shareworks, and Excel

• Strong organizational, research, and communication skills

• Ability to manage multiple priorities in a fast-paced, deadline-driven environment

• Experience in a large corporate legal department or law firm preferred

• Bachelor’s degree and/or ABA-approved paralegal certificate required

• Direct Hire

• Hybrid, Mon - Fri

  • 9:30 am - 5:30 pm

• Salary: $120,000 - $180,000
