LHH is seeking a skilled Corporate Paralegal for a respected law firm in the Tampa/St. Petersburg area. This is a fantastic opportunity for a detail-oriented legal professional to support a busy corporate practice and work closely with attorneys on a wide range of business matters.

Key Responsibilities:

  • Prepare and file corporate formation documents, amendments, mergers, dissolutions, and other entity-related filings with the Secretary of State.

  • Maintain and manage corporate records, including minute books, resolutions, and annual reports.

  • Assist with drafting and reviewing contracts, operating agreements, bylaws, shareholder agreements, and other corporate governance documents.

  • Conduct UCC searches and filings; prepare UCC financing statements and handle related documentation.

  • Support attorneys in due diligence efforts for mergers, acquisitions, and other corporate transactions.

  • Manage closings for corporate transactions, including preparation of closing binders and checklists.

  • Liaise with clients, state agencies, and internal legal teams to ensure timely and accurate documentation and compliance.

  • Track and manage compliance deadlines for various corporate entities across jurisdictions.

Qualifications:

  • Minimum of 3–5 years of experience as a corporate paralegal, preferably in a law firm or in-house legal department.

  • Strong understanding of corporate entity structures and filings across multiple jurisdictions.

  • Experience with corporate governance, transactional support, and regulatory compliance.

  • Proficiency in legal research tools and corporate filing platforms (e.g., Sunbiz, Delaware Division of Corporations, CSC, or similar).

  • Exceptional organizational skills and attention to detail.

  • Ability to work independently and handle multiple priorities in a fast-paced legal environment.

  • Bachelor’s degree or paralegal certificate preferred.
